235,373,119 votes or about 73.54 percent of the share capital were represented at SIG's Annual General Meeting ("AGM"). In accordance with the Ordinance 2 on Measures to Combat the Coronavirus (COVID-19) of the Swiss Federal Council of 13 March 2020, shareholders were not admitted to the AGM in person but were able to exercise their voting rights by providing instructions to the independent proxy. Shareholders also had the opportunity to submit questions in advance and to follow the event by webcast or telephone.
The AGM approved all proposals including a cash dividend of CHF 0.38 per registered share, to be paid out of capital contribution reserves. The payment of the dividend is scheduled for 16 April 2020. The AGM also approved the maximum aggregate amount of compensation of the Board of Directors until the 2021 AGM and of the Group Executive Board for the financial year 2021 and, in a non-binding advisory vote, the Compensation Report 2019.
The AGM further re-elected all members of the Board of Directors and of the Compensation Committee and Andreas Umbach as Chairman of the Board of Directors for another year. For more visit sig.biz
